General Terms and Conditions of Sale (CGV)

Preamble These General Terms and Conditions of Sale (“CGV”) govern all sales of women’s ready-to-wear apparel and natural stone jewelry (rings, pendants, bracelets, necklaces) by Carmela Group Limited (“Seller”) to professional clients (B2B) via www.carmelafashion.com. Placing an order implies full acceptance of these CGV without requiring a signed document. Latest version: November 11, 2025.

Article 1: Scope and Client Status

1.1 This website is exclusively for business-to-business (B2B) transactions and accepts orders only from registered professional clients.

1.2 The Buyer warrants that it is a legally registered business entity purchasing for commercial purposes.

1.3 The Seller reserves the right to refuse orders from non-professional clients or suspected resale to end consumers.

Article 2: Products and Ordering Process

2.1 Products include women’s apparel and jewelry made from natural stones and other materials.

2.2 Images, sizes, and colors on the site are for reference only; slight variations may occur due to batch or screen differences.

2.3 Order process:

Buyer selects items → submits order form (quantity, model)
Seller replies with Order Confirmation (total, shipping, ETA) within 2 working days
Buyer confirms and pays → order becomes binding 2.4 Minimum shipment: 20 kg per order.

Article 3: Pricing and Taxes

3.1 All prices are in Euros (€), labeled NET PRICE (excl. tax).

3.2 VAT: 20%, calculated separately at checkout (if applicable).

3.3 Customs duties: 12%, paid by Buyer upon customs clearance.

3.4 Prices may be adjusted due to exchange rates, material costs, or regulations; confirmed orders are unaffected.

Article 4: Payment Methods and Terms

4.1 Payment gateway: Airwallex, supporting (in France):

Credit cards (Visa, Mastercard)
SEPA bank transfer
Apple Pay
BNPL options (per Airwallex policy) 4.2 Payment term: Net 30 days from order confirmation. 4.3 Late penalty: 3x legal interest rate (French Commercial Code Art. L.441-10). 4.4 Unpaid for 15+ days: Seller may suspend future shipments.

Article 5: Shipping and Delivery

5.1 Delivery area: Metropolitan France only (excl. overseas territories).

5.2 Carrier: SF International (Standard Express).

5.3 Lead time: 10 working days from payment receipt (excl. customs delays). 5.4 Freight calculation:

Rate: €8.65/kg
Basis: higher of actual or volumetric weight (L×W×H÷5000)
Minimum: 20 kg 5.5 Tracking & receipt:
Tracking number sent within 24h of dispatch
Buyer must inspect upon receipt and report damage/shortage immediately with photos 5.6 Risk transfer: Upon handover to carrier (Commercial Code Art. L.624-2).

Article 6: Returns and Refunds 6.1 No returns or refunds for B2B transactions without valid reason. 6.2 Exceptions:

Hidden defects: Buyer must notify in writing within 8 days of discovery (Civil Code Art. 1641)
Wrong shipment: Seller covers return shipping and reships 6.3 Custom, opened jewelry, or intimate apparel: non-returnable. 6.4 Return process: Buyer ships back → Seller inspects → refund within 14 days (excl. shipping).

Article 7: Legal Warranties and Liability

7.1 Statutory warranty: 2 years for hidden defects from delivery.

7.2 No liability for indirect damages (loss of profit, reputation).

7.3 Force majeure (strike, customs delay, natural disaster) exempts Seller.

Article 8: Dispute Resolution and Governing Law

8.1 Governing law: French law.

8.2 Jurisdiction: Exclusive to [registered city] Commercial Court.
